These Terms of Service (“Terms”) govern your access to and use of the data, tools, analytics, backtesting, community features, APIs, and related online services (collectively, the “Service”) provided by Bluecode (“Bluecode”, “we”, “us”, or “our”) through Alphalytic (the “Site”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. “Service” means the website, applications, APIs, data feeds, tools, and all related content and functionality provided by Bluecode under the Alphalytic brand.
2. “User” means any individual or entity who accesses or uses the Service, whether registered or unregistered.
3. “Member” means a User who has created an account to use the Service.
4. “Paid Service” means any subscription, paid plan, paid data, premium tools, APIs, or other features that require payment.
5. “Content” means all data, charts, analytics, models, signals, text, images, code, posts, and other materials made available via the Service.

1. We may update or modify these Terms from time to time. If we make material changes, we will notify you by posting a notice on the Site, sending an email, or using another reasonable method.
2. Unless otherwise stated, updated Terms become effective on the date indicated in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
3. If you do not agree to the updated Terms, you must stop using the Service and, if applicable, cancel your subscription.

1. Bluecode may provide:
   1. Market data, including equities, indices, and related financial information.
   2. Quantitative indicators, factor analytics, signals, scoring models, and backtesting tools.
   3. Screener tools, strategy analytics, and simulation functions.
   4. Community features such as forums, comments, research sharing, and user profiles.
   5. APIs, data exports, and other developer-oriented services.
   6. Other services and features as we may add or modify from time to time.
2. We reserve the right to change, suspend, or discontinue any part of the Service at any time, with or without notice, as long as we act in good faith and in line with applicable law.

1. We strive to provide the Service on a continuous basis but do not guarantee uninterrupted or error-free operation.
2. The Service may be temporarily unavailable due to maintenance, upgrades, network or system issues, third-party outages, or events beyond our reasonable control (e.g., force majeure, data vendor failures, cloud provider incidents).
3. To the extent permitted by law, we are not liable for any loss or damage arising from such interruptions, provided we act with reasonable care.

1. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
2. To access certain features, you must create an account by providing accurate and complete information and keeping it up to date.
3. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
4. You must promptly notify us if you believe your account has been compromised.

1. You may stop using the Service or close your account at any time, subject to any active subscription terms.
2. We may suspend or terminate your access to the Service, with or without notice, if:
   1. You violate these Terms or our policies.
   2. You engage in fraud, abuse, or unlawful activity.
   3. Your use of the Service risks harm to other users, us, or third parties.
3. Upon termination, your right to access the Service will cease. Certain provisions (e.g., intellectual property, disclaimers, limitations of liability) will continue to apply.

1. Some features of the Service are offered as Paid Services, including subscriptions, premium data, and APIs.
2. By subscribing or purchasing a Paid Service, you agree to pay all applicable fees, taxes, and charges in accordance with the pricing and billing terms presented at the time of purchase.
3. Subscriptions may renew automatically at the end of each billing period unless you cancel in accordance with the cancellation instructions provided in your account or payment page.
4. You authorize us and our payment processors to charge your chosen payment method on a recurring basis for subscription fees, unless you cancel before the renewal date.

1. Except where required by law or explicitly stated in our refund policy, all fees for Paid Services are non-refundable.
2. We may, at our sole discretion, provide a refund, credit, or extension in specific cases (e.g., prolonged service outage, duplicate billing, or other errors). Any such decision will not entitle you to future refunds.
3. Chargebacks or payment disputes initiated without contacting us first may result in suspensão or termination of your account.

You agree not to engage in any of the following prohibited activities:

1. Providing false, inaccurate, or misleading information.
2. Sharing your account credentials with others or using another user’s account without permission.
3. Reverse engineering, scraping, harvesting, or bulk downloading data beyond what is allowed by the Service or your plan.
4. Using the Service in violation of applicable laws, including securities, market abuse, and anti-manipulation laws.
5. Posting or transmitting unlawful, harmful, defamatory, harassing, obscene, or otherwise objectionable content.
6. Attempting to interfere with the security, integrity, or availability of the Service or any associated systems.

1. All rights, title, and interest in and to the Service and its Content (including data, algorithms, models, charts, software, designs, and branding) are owned by Bluecode or its licensors and are protected by applicable intellectual property laws.
2. Except as expressly permitted by these Terms or a separate written agreement, you may not copy, modify, distribute, sell, or create derivative works based on any part of the Service or Content.
3. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal or internal business purposes, subject to these Terms and any plan or usage limits.

1. You may be able to post or upload content such as comments, strategies, research, or other materials (“User Content”). You retain ownership of your User Content.
2. By submitting User Content, you grant Bluecode a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, publicly display, and distribute such User Content in connection with operating, improving, and promoting the Service.
3. You are solely responsible for your User Content and warrant that you have all rights necessary to grant the above license and that your User Content does not violate any laws or third-party rights.

1. The Service may integrate or link to third-party services, data vendors, brokers, or other websites. These are provided solely as a convenience.
2. We do not endorse and are not responsible for the content, policies, or practices of third-party services. Your use of any third-party service is subject to that service’s own terms and policies.

1. No Investment Advice. The Service and all Content (including signals, scores, backtests, charts, and analytics) are provided for informational, educational, and research purposes only and do not constitute investment, financial, legal, or tax advice.
2. No Recommendation or Solicitation. Nothing in the Service should be interpreted as a recommendation, offer, or solicitation to buy, sell, or hold any security, financial product, or strategy. You remain solely responsible for your own investment decisions.
3. No Performance Guarantee. Past performance, backtested results, simulated performance, or statistical projections are not indicative of future results. There is no guarantee that any strategy or signal will achieve desired outcomes.
4. Data Quality. Prices, indicators, fundamentals, and other data may be delayed, incomplete, or inaccurate due to data vendor limitations, exchange rules, or technical issues. You should always verify critical information through your broker or official sources before trading.
5. To the maximum extent permitted by law, Bluecode is not responsible for any losses or damages arising from your use of or reliance on any Content, signals, or tools provided by the Service.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that the Service will be error-free, secure, or continuously available, or that any defects will be corrected. We do not warrant the accuracy, completeness, timeliness, or reliability of any Content or data.

1. To the fullest extent permitted by applicable law, Bluecode and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost data, or trading losses, arising out of or in connection with your use of or inability to use the Service.
2. To the fullest extent permitted by law, our total cumulative liability for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount you paid us for the Paid Services during the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred (100) U.S. dollars.

1. You agree to indemnify, defend, and hold harmless Bluecode and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
   1. Your use of the Service or Content;
   2. Your violation of these Terms or any applicable law;
   3. Your User Content or any misuse of data obtained through the Service.

1. Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
2. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

1. These Terms and any dispute arising out of or related to your use of the Service shall be governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to conflict-of-law principles.
2. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in California, and you and we consent to the personal jurisdiction and venue of such courts.

1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
2. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
3. These Terms, together with our Privacy Policy and any additional terms presented for specific features or plans, constitute the entire agreement between you and Bluecode regarding the Service.

1. These Terms are effective as of December 1, 2025.
